LesPark Anti-Bribery Announcement

Dear LesPark Partners,

Our relationship with our partners is founded on legality, fairness, and equitable transactions. We expect our partners to abide by the law, treat LesPark employees fairly, and maintain a high standard of integrity and professional ethics.

 

LesPark views corporate bribery as detrimental to the fundamental principles of a market economy, as it disrupts market order, hampers fair competition, and impedes the rational allocation of resources. It also increases business operational costs and undermines the healthy development of the partnership relationship. Furthermore, bribery tarnishes societal风气, corrodes the moral character of corporate personnel, and serves as a breeding ground for corrupt practices and economic crimes. Based on the above understanding, LesPark hereby declares the following:

 

1. Prohibition of Bribing Employees in Any Way

We encourage polite conduct in business interactions, but we firmly oppose any form of commercial bribery that seeks to improperly influence the relationship by directly or indirectly offering improper benefits to LesPark employees or their immediate family members. Improper benefits include, but are not limited to: (1) cash, checks, credit card gifts, samples or other merchandise, game tokens, entertainment tickets, membership cards, interest-free loans, rebates or commissions in the form of money or goods, employment or property purchase, travel, banquets, personal services, or other forms of personal gains; (2) stocks, shares, or other equity interests in partners held by LesPark employees or their immediate family members, or held by related companies on their behalf, in order to obtain favorable conditions during the cooperation process.

 

2. No bribery or abuse of power to influence business fairness

LesPark employees should abide by LesPark's professional conduct guidelines in their interactions with partners, ensuring fairness, transparency, and no discrimination or deception in the cooperation process. Neither employees nor their immediate family members should accept or solicit personal benefits from partners or use their position to influence partner selection and evaluation, thereby granting "special treatment" to a particular partner.

 

3. Strict Compliance with Laws and Regulations

Both LesPark and its partners should resolutely abide by and urge their respective employees to comply with the anti-bribery laws and regulations applicable in their jurisdictions during the course of their joint business activities.

 

4. Accurate Declaration of Related Party Relationships

Before partnering with LesPark, the partner should proactively and truthfully declare any related party relationships between their personnel and LesPark. If such relationships are not declared truthfully in advance, LesPark reserves the right to immediately terminate the contract upon discovery. The involved party shall unconditionally compensate LesPark for all losses and LesPark reserves the right to pursue legal action against the involved party.

 

5. Partners are responsible for resisting, opposing, and reporting inappropriate behavior of LesPark employees; they are also responsible for actively cooperating with LesPark's relevant investigation activities.

Partners can report violations of this declaration by LesPark employees through the following channels. LesPark will strictly protect the confidentiality of all information providers and the data they provide:

6. If LesPark agrees to partner with a subcontractor (or other supplier) to jointly fulfill its contractual obligations under the LesPark business agreement, the partner shall ensure that the subcontractor (or other supplier) complies with this declaration, and the partner shall be jointly liable for the actions of the subcontractor (or other supplier). If there are individuals with a conflict of interest between the partner and LesPark (i.e., shareholders, supervisors, managers, senior executives, project managers, or project members of the partner are employees of LesPark Entertainment Group or their immediate family members), the partner shall promptly make a written report to LesPark. Additionally, the partner is obligated to explain and educate the subcontractor (or other supplier) about the contents of this declaration. The partner shall ensure that its subcontractors (or other suppliers) do not, in any manner directly or indirectly, bribe LesPark employees or their immediate family members. Neither shall the partner or its employees solicit or accept any benefits on behalf of LesPark from its subcontractors (or other suppliers).

 

LesPark has a zero-tolerance policy towards commercial bribery. Employees found in violation of this declaration will be immediately dismissed and blacklisted. For partners found in violation, relevant legal action will be taken in accordance with anti-bribery laws and regulations upon confirmation of the violation. At the same time, LesPark reserves the right to blacklist any company in which violating partners, their legal representatives, senior management, or relevant business executives hold shares or are involved in management and operation, from ever engaging in business cooperation.
